Terms of Service

These Terms of Service govern the contractual relationship between Northbridge BI (Patrick Bodner) and our clients. By engaging our services, you agree to the terms below.

1. Scope of services

Northbridge BI provides independent advisory services in business intelligence, data strategy, dashboard development, and AI readiness assessment. The specific scope, deliverables, and timeline are defined in a written engagement proposal or statement of work agreed upon by both parties before work begins.

Unless explicitly agreed otherwise, our services do not include: software development for production systems, ongoing IT operations, legal or tax advice, or data entry / cleansing beyond what is necessary for the agreed deliverables.

2. Engagement and commencement

An engagement begins upon signed acceptance of a proposal or statement of work, or upon written confirmation (email accepted). We reserve the right to decline engagements that fall outside our expertise or capacity.

3. Fees and payment

  • Project-based fees — fixed price for defined deliverables, invoiced in stages (typically 40% on commencement, 60% on completion).
  • Advisory retainers — monthly recurring fee for a predefined scope of ongoing support.
  • Expenses — travel, accommodation, and third-party tool costs incurred on behalf of the client are passed through at cost with prior agreement.

Invoices are due within 14 days of issue unless otherwise stated. Late payments may incur interest at the statutory rate under German law (Verzugszinsen, § 288 BGB). All fees are quoted exclusive of applicable VAT (USt.).

4. Intellectual property

Upon full payment, the client receives a non-exclusive, perpetual license to use any custom reports, dashboards, documentation, and training materials created specifically for the engagement. Northbridge BI retains ownership of underlying methodologies, frameworks, templates, and reusable code libraries.

Pre-existing intellectual property, third-party tools, and open-source components remain the property of their respective owners and are licensed under their original terms.

5. Confidentiality

Both parties agree to keep confidential all proprietary business information, data, and strategies disclosed during the engagement. This obligation survives termination of the contract for a period of 3 years, or indefinitely for trade secrets.

We may reference the engagement in anonymised case studies or portfolio materials only with the client’s prior written consent.

6. Data protection

We process any personal data received from the client solely for the purpose of delivering the agreed services. We act as a data processor under Article 28 GDPR where applicable, and we implement appropriate technical and organisational security measures.

7. Limitation of liability

Northbridge BI is liable for damages caused by intentional misconduct or gross negligence. Liability for slight negligence is limited to foreseeable, typical damages and capped at the total fee paid for the specific engagement giving rise to the claim. This limitation does not apply to statutory non-waivable liability (e.g., under the German Product Liability Act).

We are not liable for business decisions made by the client based on our advisory output, nor for the accuracy of third-party data sources integrated into dashboards.

8. Subcontracting and third parties

We may engage trusted subcontractors (e.g., specialised developers, cloud engineers) with the client’s prior consent. We remain fully responsible for the quality and confidentiality of subcontracted work.

9. Termination

Project engagements may be terminated by either party with 14 days’ written notice. Fees for work completed up to the termination date are due in full; any pre-paid but unearned fees are refunded pro-rata.

Retainer agreements may be terminated by either party with 30 days’ notice to the end of a calendar month.

10. Force majeure

Neither party is liable for failure to perform obligations caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government restrictions, or failure of third-party infrastructure.

11. Governing law and jurisdiction

These terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these terms is Munich, Germany (München), to the extent permitted by law.

12. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

13. Changes to these terms

We may update these terms from time to time. The terms applicable to an engagement are those in force at the time the engagement commenced. Continued work under an existing engagement does not constitute acceptance of revised terms.
