Northbridge BI provides Business Intelligence and Reporting Advisory services exclusively to business customers (B2B). The following terms govern all consulting engagements delivered by Northbridge BI to its clients.

Northbridge BI supports business customers with independent advisory in Reporting Strategy, Executive Reporting, Business Intelligence Advisory, Microsoft Fabric Advisory, KPI Architecture, AI Readiness, and related workshops, training, and documentation.
The specific scope of each engagement is defined in a proposal or statement of work agreed before the work begins.
An engagement begins with written acceptance of a proposal or statement of work; confirmation by email is sufficient. Northbridge BI may decline requests that fall outside its expertise or capacity.
Fees, invoicing, and payment terms are agreed individually for each engagement and set out in the corresponding proposal or statement of work. All fees are quoted exclusive of applicable VAT.
Payment may be made by invoice or through the online payment methods offered by Northbridge BI. Late payment is subject to statutory rules under German law.

The client provides Northbridge BI with the information, data, system access, and points of contact required to deliver the agreed services in a timely and appropriate manner. The client is responsible for the lawful basis of any data made available to Northbridge BI.
Both parties treat all confidential business information exchanged during the engagement as strictly confidential and use it solely to deliver the agreed work. This obligation continues after the engagement ends.
Upon full payment, the client owns the deliverables created specifically for the engagement.
Northbridge BI retains ownership of its reusable methodologies, frameworks, templates, and components developed prior to or independently of the engagement.
Personal data is processed solely to deliver the agreed engagement. Where Northbridge BI processes personal data on behalf of the client, a data processing agreement pursuant to Article 28 GDPR will be concluded. For further information, please refer to our Privacy Policy.
Northbridge BI is liable without limitation for intent, gross negligence, and in cases of mandatory statutory liability. For ordinary negligence, liability is limited to foreseeable, contract-typical damages and capped at the fee agreed for the engagement in question.
Business decisions taken by the client on the basis of advisory output remain the client's responsibility.
Engagements may be ended by either party in line with the arrangements agreed in the applicable proposal or statement of work. In the absence of a separate arrangement, work performed up to the end date is invoiced. The right to terminate for cause remains unaffected.
These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the then-current registered office of Northbridge BI, to the extent permitted by law.
Northbridge BI may update these terms from time to time. The terms in force at the time an engagement is agreed continue to apply to that engagement.
